The short version

You must be 18 or older to use Memspire.
Your AI conversations are saved on your own computer. You own them, and Memspire doesn't upload them anywhere.
Memspire will not sell, transfer, or share any of your data with any third party, otherwise benefit from it, or use it to train AI models, without your express authorization. The only exception is the service providers that store or process data for Memspire, such as our cloud hosting, email, and payment providers. They may use it only to provide those services to us.
Saving your existing history is free. Memspire Pro keeps saving new conversations automatically, for a monthly fee per account.
Pro renews monthly until you cancel. Cancel anytime in one step, with no calls and no questions. You keep Pro until the end of the month you've paid for, and you can come back whenever you like.
Payments aren't refunded, except where the law requires it or we made a billing mistake.

1. Who we are and what this covers

These Terms of Service ("Terms") are an agreement between you and Memspire Inc, a Missouri corporation ("Memspire," "we," or "us"). They cover the Memspire desktop app, the Memspire Chrome extension, the memspire.com website, and Memspire Pro (together, the "Services"). Our Privacy Policy explains what information we handle and is part of these Terms. By installing or using the Services, you agree to these Terms. If you don't agree, please don't use the Services.

2. Who can use Memspire

You must be at least 18 years old, or the age of majority where you live if that is higher, to use the Services. By using them, you confirm that you meet this requirement and can enter into this agreement. If you use Memspire on behalf of a company or other organization, you confirm you're authorized to accept these Terms for it.

3. What Memspire does

Memspire saves copies of your conversations with AI services, currently ChatGPT, Claude, and Gemini, including files and images they create, to your own computer, where you can search them. The Chrome extension reads your conversations using your own signed-in session with each AI service and passes them only to the Memspire desktop app on the same computer.

Your conversations stay on your computer. We don't receive, store, or read their contents. See the Privacy Policy for exactly what our servers do know.
The AI services are separate companies. Memspire is not affiliated with or endorsed by OpenAI, Anthropic, or Google. Your use of each AI service is governed by its own terms, and you're responsible for following them.
Those services can change. AI services change their websites and features without notice, and that can temporarily stop Memspire from capturing some conversations or files. We work to keep up, but we can't guarantee that capture will always work.

4. Your account

Some features require a Memspire account. Please give accurate information and keep your sign-in secure. You're responsible for activity under your account. Tell us right away at support@memspire.com if you think someone else has accessed it. Each account is for one person.

5. Free use and Memspire Pro

Free: importing and saving your existing conversation history, and searching everything you've saved, is free.
Memspire Pro: keeps saving new conversations automatically as you chat. Pro is a monthly subscription, priced per account. The current price is shown in the app before you subscribe, and on your receipts.
Future features, such as access to your saved history from AI assistants (MCP access), may be offered at a different price. We'll always show the price before you choose it.

6. Billing

Pro is billed monthly, in advance, in U.S. dollars, starting on the day you subscribe. It renews automatically each month at the then-current price until you cancel.
Payments are processed by our payment provider, Stripe. Memspire never sees or stores your full card number.
A few days before each monthly charge, we'll email you a reminder with a one-click cancel link, and you'll get a receipt by email for every charge.
Price changes: we'll email you at least 30 days before any price increase applies to you. If you don't want the new price, cancel before it takes effect and you won't be charged it.
If a payment fails, we may retry it. If it still can't be collected, Pro features pause until payment is updated, and your saved conversations and free features are unaffected.

7. Cancelling

You can cancel Pro at any time, in one step, from the Memspire app or from the link in any billing email, or by writing to support@memspire.com. There are no cancellation fees and no extra confirmation steps. When you cancel:

You won't be charged again.
Pro keeps working until the end of the month you've already paid for.
Everything you've saved stays on your computer, and the free features keep working.
You're welcome back anytime. Just subscribe again.

8. Refunds

Because you can cancel at any time and keep Pro through the period you've paid for, payments are non-refundable, including for partial months. Exceptions: if we charge you by mistake, such as a duplicate charge or a charge after you cancelled, we'll refund it. We'll also give any refund that applicable law requires. Contact support@memspire.com with any billing question.

9. Your content

Memspire will not sell, transfer, or share any of your data with any third party, otherwise benefit from it, or use it to train AI models, without your express authorization. The only exception is the service providers that store or process data for Memspire, such as our cloud hosting, email, and payment providers. They may use it only to provide those services to us. This applies to Your Content and to any other information about you that we handle.

Your conversations, files, and anything else you save with Memspire ("Your Content") belong to you, or to whoever owns them under the AI service's terms. Because Your Content stays on your computer, we don't receive it and claim no rights to it. You're responsible for Your Content and for keeping backups of your computer. If you send us something yourself, such as a support message, you allow us to use it only to help you and to run and improve the Services.

10. Acceptable use

Please don't: use the Services to break the law or anyone's rights; use them on AI accounts that aren't yours or that you're not authorized to use; reverse engineer, resell, or redistribute the Services, except as the law allows; interfere with or try to get around the Services' security or limits; or use the Services to send spam or harmful content, including through our contact form.

11. Our software

We give you a personal, non-exclusive, non-transferable license to install and use the Memspire app and extension for as long as you follow these Terms. Memspire owns the Services and their software, design, and content. MEMSPIRE^® and the Memspire logo are trademarks of Memspire Inc and may not be used without our permission. We may update the Services from time to time, for example to keep up with changes to the AI services.

12. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE EXTENT THE LAW ALLOWS, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DON'T PROMISE THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT EVERY CONVERSATION OR FILE WILL BE CAPTURED. Memspire is not a substitute for backing up your computer.

13. Limitation of liability

TO THE EXTENT THE LAW ALLOWS, MEMSPIRE WON'T BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST DATA OR PROFITS, ARISING FROM THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICES IS LIMITED TO THE GREATER OF THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM, OR US $50. Some places don't allow these limits, so they may not all apply to you.

14. Indemnity

If someone brings a claim against Memspire because of your misuse of the Services or your violation of these Terms or the law, you agree to cover the reasonable costs of that claim, to the extent the law allows.

15. Ending this agreement

You can stop using the Services at any time by uninstalling them and cancelling Pro. We may suspend or end your access if you seriously or repeatedly break these Terms, or if we have to for legal reasons. Where reasonable, we'll tell you first. If we discontinue Pro entirely, we'll give you notice and won't charge you for any period we don't provide. Sections 8, 9, and 12 to 16 continue to apply after this agreement ends.

16. Disputes

If you have a problem with Memspire, please contact support@memspire.com first. Most issues can be solved quickly that way. These Terms are governed by the laws of the State of Missouri, without regard to conflict-of-law rules. Any dispute that we can't resolve informally will be settled by binding individual arbitration in St. Louis, Missouri, under the American Arbitration Association's Consumer Arbitration Rules. Either of us may instead bring an individual claim in small-claims court. You and Memspire each agree to bring claims only individually, not as part of a class or representative action, and waive any right to a jury trial. Either party may ask a court for an order to stop infringement or misuse of intellectual property.

17. Changes to these Terms

We may update these Terms. If a change is significant, we'll tell you by email or in the app before it takes effect. Changes don't apply retroactively, and price changes follow section 6. If you keep using the Services after a change takes effect, the new Terms apply. If you don't agree, you can cancel and stop using the Services.

18. General

These Terms, together with the Privacy Policy, are the whole agreement between you and Memspire about the Services. If a part is found unenforceable, the rest stays in effect. If we don't enforce a term right away, that doesn't mean we've waived it. You may not transfer this agreement without our consent. We may transfer it as part of a merger, acquisition, or sale of assets.
